1. ACCEPTANCE OF TERMS

By accessing or using the services provided by First Class Business Group Inc ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and First Class Business Group Inc. If you do not agree to these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Continued use of our services after any such changes constitutes your acceptance of the new Terms.

2. DESCRIPTION OF SERVICES

First Class Business Group Inc is a business lending broker that provides the following services:

• Connecting businesses with potential lenders, investors, and financing sources

• Evaluating and presenting business financing options including but not limited to term loans, lines of credit, merchant cash advances, SBA loans, equipment financing, invoice factoring, and commercial real estate financing

• Advising on loan application preparation and submission

• Facilitating communication between clients and lending institutions

• Providing general business financial consulting and guidance

First Class Business Group Inc acts solely as a broker and intermediary. We are not a lender and do not make credit decisions or guarantee approval for any financing product.

3. BROKER RELATIONSHIP & DISCLOSURE

You acknowledge and understand the following:

• First Class Business Group Inc is a business lending BROKER, not a direct lender.

• We may receive compensation, fees, or commissions from lenders or third-party financing sources upon successful placement of your loan or financing arrangement.

• Such compensation does not affect the integrity of our advice, but you have the right to inquire about our compensation structure at any time.

• We do not guarantee that any financing will be obtained on your behalf.

• Final credit decisions rest solely with the lenders and financing institutions.

• Loan terms, rates, and conditions are determined by the lender, not by First Class Business Group Inc.

4. ELIGIBILITY

To use our services, you represent and warrant that:

• You are at least 18 years of age and legally authorized to enter into contracts

• Your business is legally registered and operating in compliance with all applicable laws

• You have the legal authority to bind your business to these Terms

• All information you provide to us is accurate, complete, and not misleading

• You are not currently in bankruptcy proceedings unless otherwise disclosed

5. CLIENT RESPONSIBILITIES

By using our services, you agree to:

• Provide accurate, truthful, and complete financial and business information

• Promptly respond to requests for documentation and additional information

• Notify us immediately of any material changes to your business or financial situation

• Maintain confidentiality of any proprietary processes or information shared by us

• Not use our services for any unlawful purpose or fraudulent activity

• Cooperate fully throughout the application and underwriting process

You understand that providing false or misleading information may constitute fraud and could result in criminal liability. First Class Business Group Inc reserves the right to immediately terminate services if fraud or misrepresentation is suspected.

6. FEES AND COMPENSATION

First Class Business Group Inc may charge fees for its services. Fee arrangements will be disclosed to you prior to rendering services and may include:

• Broker fees or origination fees payable upon successful loan closing

• Consulting or advisory fees for certain services

• Application processing fees (non-refundable, if applicable)

Any fees charged directly to you will be disclosed in writing before you incur an obligation to pay. You agree not to attempt to circumvent our broker relationship by directly contacting lenders introduced to you through our services during the term of our engagement and for a period of 24 months thereafter.

7. NO GUARANTEE OF FINANCING

First Class Business Group Inc makes no warranty, representation, or guarantee that:

• Financing will be obtained for your business

• Any particular interest rate, term, or financing amount will be available

• A specific lender will approve your application

• The financing options presented will meet your business needs

Approval for financing depends on many factors outside our control, including but not limited to your creditworthiness, business financials, lender underwriting criteria, and market conditions.

8. SMS & ELECTRONIC COMMUNICATIONS

By providing your phone number and consenting to SMS communications, you agree to receive customer care and support messages from First Class Business Group Inc. Message frequency may vary. Standard Message and Data Rates may apply. Reply STOP to opt out. Reply HELP for help.

We will not share your opt-in to an SMS campaign with any third party for purposes unrelated to providing you with the services of that campaign. We may share your Personal Data, including your SMS opt-in or consent status, with third parties that help us provide our messaging services, including but not limited to platform providers, phone companies, and any other vendors who assist us in the delivery of text messages.

All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

9. PRIVACY POLICY

Your use of our services is also governed by our Privacy Policy, which is incorporated herein by reference. By using our services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

We collect personal and business information necessary to facilitate financing arrangements, including but not limited to: business financials, tax returns, bank statements, personal credit information, and business ownership information. This information is shared with potential lenders and financing institutions solely for the purpose of securing financing on your behalf.

10. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of our engagement. First Class Business Group Inc will not disclose your financial information to any third party except as necessary to facilitate financing arrangements or as required by law.

You agree not to disclose any proprietary lender relationships, pricing structures, or internal processes of First Class Business Group Inc to any third party without prior written consent.

11. INTELLECTUAL PROPERTY

All content, materials, processes, tools, and methodologies provided by First Class Business Group Inc are the exclusive property of the Company and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our materials without express written permission.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, FIRST CLASS BUSINESS GROUP INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to First Class Business Group Inc in the three (3) months preceding the claim.

We are not liable for the actions, omissions, or decisions of any lender or third-party financing institution.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless First Class Business Group Inc, its officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms

• Your misrepresentation or provision of inaccurate information

• Your violation of any applicable law or regulation

• Any claim by a third party arising from your use of our services

14. REGULATORY COMPLIANCE

First Class Business Group Inc operates in compliance with applicable federal and state laws governing business lending brokerage activities. You acknowledge that financing transactions may be subject to federal and state lending laws, and you agree to comply with all applicable regulations in connection with any financing obtained through our services.

We comply with applicable anti-money laundering (AML) and Know Your Customer (KYC) requirements and may be required to collect and verify your identity and business information.

15. TERMINATION

Either party may terminate the broker relationship at any time with written notice. Upon termination:

• Any fees earned by First Class Business Group Inc prior to termination remain due and payable

• Your obligation not to circumvent our lender relationships remains in effect for 24 months

• Confidentiality obligations survive termination indefinitely

• All provisions that by their nature should survive termination shall survive

We reserve the right to immediately terminate services without notice if you breach these Terms, provide fraudulent information, or engage in any activity that may expose the Company to legal liability.

16. DISPUTE RESOLUTION

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which First Class Business Group Inc is incorporated, without regard to its conflict of law provisions.

16.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the county where First Class Business Group Inc maintains its principal place of business.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. DISCLAIMER OF WARRANTIES

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other agreements executed between you and First Class Business Group Inc, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
